This TanShip Commercial License (the "License") governs use of the TanShip software, source code, templates, components, documentation, and other materials provided with this License (collectively, the "Software"). By purchasing, downloading, accessing, copying, or using the Software, you agree to this License.
1. Definitions
"Licensor" means Stefan Pang.
"Licensee" means the single person or single legal entity identified as the purchaser. A Licensee does not include its parent companies, subsidiaries, affiliates, clients, or other related legal entities.
"Authorized Users" means the Licensee and, if the Licensee is a legal entity, its employees and individual contractors who need access to the Software solely to perform work for the Licensee. Contractors must be bound by confidentiality and use restrictions at least as protective as this License, may not use the Software for their own benefit or for another person, and must delete their copies when their work for the Licensee ends.
"End Product" means a website, software-as-a-service application, application, or other product created using the Software that provides substantial functionality beyond the Software itself and is not offered as a reusable template, development tool, or source-code resource.
"Client" means an unrelated third party for whom the Licensee performs development or hosting services.
2. License Grant
Subject to payment of the applicable license fee and continued compliance with this License, the Licensor grants the Licensee a worldwide, non-exclusive, non-transferable, non-sublicensable, perpetual license (unless terminated under Section 9) to:
- access, copy, and modify the Software through Authorized Users;
- create an unlimited number of End Products owned or controlled by the Licensee;
- deploy those End Products to an unlimited number of development, testing, preview, staging, and production environments;
- operate, market, sell access to, and charge end users for those End Products; and
- remove or replace TanShip branding in an End Product.
No attribution to TanShip or the Licensor is required in an End Product.
3. Client Work
The Licensee may use the Software to develop and host an End Product for a Client while the Licensee retains control of the Software and the End Product's complete source code.
Before the Licensee gives a Client the complete source code of an End Product that contains or is derived from the Software, that Client must purchase its own valid TanShip license. The Licensee may not grant a Client access to the Software under the Licensee's license.
Delivering a hosted End Product, compiled application, object code, or browser assets that are ordinarily required to use a deployed End Product is not a transfer of complete source code under this Section.
4. Restrictions
The Licensee and Authorized Users must not, directly or indirectly:
- sell, resell, redistribute, publish, share, rent, lease, sublicense, transfer, or otherwise make the Software available to any person except as expressly permitted by this License;
- place the Software, whether original or modified, in a public repository or another location accessible to unauthorized persons;
- share purchase credentials or pool a license with another person or legal entity;
- offer the Software, whether original or modified, as a template, starter kit, boilerplate, scaffold, component library, theme pack, page builder, website builder, source-code generator, or other reusable development resource;
- use the Software to create a product or service whose primary purpose is to compete with TanShip or to allow third parties to extract, download, or reuse the Software or substantially similar source code;
- use one Licensee's license for an affiliate, Client, or other legal entity; or
- remove copyright, license, or proprietary notices from copies of the Software that are shared with Authorized Users.
The restrictions apply even if the Software has been modified, combined with other materials, renamed, or rebranded.
5. Ownership and Third-Party Materials
The Software is licensed, not sold. The Licensor retains all right, title, and interest in the Software, including all copyrights and other intellectual property rights owned by the Licensor. Except for the limited license expressly granted above, no rights are transferred to the Licensee.
"TanShip" and associated branding remain the property of the Licensor. This License does not grant any trademark or brand license.
The Software may contain or depend on third-party materials, including open source software. Those materials remain subject to their respective licenses, not this License. Nothing in this License restricts rights granted directly under an applicable third-party license.
6. Versions, Updates, and Support
This License permanently covers the version of the Software validly obtained by the Licensee, subject to Section 9. Updates, upgrades, new versions, maintenance, and technical support are included only when stated in the separate sales terms applicable to the Licensee's purchase.
The purchase price, payment terms, refund policy, update entitlement, and support services are governed by the applicable order and sales terms and are not part of this License.
7. Confidentiality and Security
The Licensee must take reasonable measures to prevent unauthorized access to or distribution of the Software. The Licensee is responsible for compliance by its Authorized Users and must promptly notify the Licensor at support@tanship.app after discovering an unauthorized disclosure.
8. Disclaimer and Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSOR WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, ARISING FROM OR RELATED TO THE SOFTWARE OR THIS LICENSE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSOR'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SOFTWARE OR THIS LICENSE WILL NOT EXCEED THE AMOUNT ACTUALLY PAID BY THE LICENSEE FOR THE SOFTWARE.
Nothing in this License excludes or limits liability that cannot lawfully be excluded or limited, including liability resulting from fraud, intentional misconduct, or gross negligence where applicable law prohibits such a limitation.
9. Termination
If the Licensee materially breaches this License, the Licensor may give written notice describing the breach. The License will terminate if the Licensee does not cure the breach within fourteen (14) days after receiving that notice.
The Licensor may terminate this License immediately upon written notice if the Licensee intentionally sells, resells, publicly publishes, or distributes the Software in violation of Section 4.
Upon termination, the Licensee and all Authorized Users must stop using the Software and delete all copies under their control. Sections 4, 5, 8, 9, 10, and 11 survive termination.
10. Governing Law and Disputes
This License is governed by the laws of the People's Republic of China, excluding the laws of the Hong Kong Special Administrative Region, the Macao Special Administrative Region, and Taiwan, without regard to conflict-of-law rules. Any dispute arising from or related to this License will be submitted to a people's court with competent jurisdiction at the Licensor's domicile.
11. General Terms
The Licensee may not assign or transfer this License without the Licensor's prior written consent. The Licensor may assign this License together with the relevant intellectual property rights or business.
If any provision is held unenforceable, it will be modified only to the minimum extent necessary, and the remaining provisions will remain effective. A failure to enforce a provision is not a waiver. This License and the applicable order and sales terms constitute the agreement concerning the Licensee's rights to use the Software and supersede prior statements about those rights.

The English text above is the authoritative version of this License. The Chinese translation below is provided for convenience. If the two versions differ, the English version controls to the maximum extent permitted by applicable law.
